Capital Market Authority Tightens IPO Rules with New Measures to Improve Order-Book Building Reliability
Saudi Arabia’s Capital Market Authority is moving to tighten a number of rules governing initial public offerings, in a move aimed at improving the reliability of the order-book building process and more clearly linking orders submitted by participating entities to available liquidity and their actual ability to pay, at a time when new listing activity on the Saudi market is slowing.
What is the Capital Market Authority proposing?
The authority has opened a 30-day public and market-participant consultation on a draft titled “Improving Initial Public Offering Practices,” which ends on October 22, 2026. According to the official statement, the draft focuses on strengthening the link between orders submitted by participating entities and their liquidity and actual ability to pay, while reinforcing compliance with orders under clear regulatory provisions.
The amendments are intended to support the reliability of order-book building, the stage during which institutional investor orders are collected to help determine the price range and final offer price. The authority says the proposals are part of efforts to develop the market, improve the efficiency of the offering and pricing process, and clarify the roles and responsibilities of participating parties.
Important timing for Saudi Arabia’s IPO market
The draft comes as the pace of new listings has slowed compared with previous periods of strong activity. Reuters reported on September 24 that the regulator was moving to tighten IPO rules after a market slowdown, placing the new proposals within a broader context aimed at improving order quality and reducing potential distortions during order-book building.
The proposals do not in themselves mean that offerings will be halted or investors restricted. Rather, they focus on the quality of orders and the extent to which they are backed by actual financial capacity. If adopted in their final form, this could give the pricing process more realistic indications of the scale of institutional demand.
When will the new provisions take effect?
The Capital Market Authority confirmed that comments received during the consultation period will be reviewed before the final version is adopted, and that the regulatory provisions related to the draft are targeted to take effect on November 2, 2026. The materials currently presented therefore remain a regulatory draft until the consultations conclude and the final version is approved.
The move is part of an ongoing regulatory process. The Rules on the Offering of Securities and Continuing Obligations stipulate that offerings in the Kingdom are conducted under defined frameworks covering exempt, private and public offerings, as well as offerings on the parallel market, with detailed requirements for registration, offering and disclosure.
What does this mean for investors and companies?
For companies planning to list, the proposed rules increase the importance of thorough preparation for the order-book building stage and coordination with participating financial institutions. For investors, the key impact lies in efforts to make the demand signals used in pricing more closely linked to the genuine ability to carry out the subscription.
